These Terms of Service (“Terms”) are entered into by and between You and Alehra, a product of Outrun Connect (“Alehra,” “we,” “us,” or “our”).
These Terms govern your access to and use of Alehra.com, any subdomains, related applications, and all associated services (collectively, the “Services”).
By accessing or using the Services, You agree to be bound by these Terms and our Privacy Policy (collectively, the “Agreement”).
If You do not agree, do not use the Services.
IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND LIMITATION OF LIABILITY PROVISIONS.
1. Nature of the Services
Alehra provides electronic health record (EHR), Practice Management, telehealth enablement, scheduling, AI-assisted documentation tools, secure messaging, claims processing tools, document exchange (DocBox), and related healthcare technology features.
Alehra does not provide medical advice, diagnosis, treatment, or professional healthcare services.
Healthcare services are provided solely by licensed Providers using the platform.
Business Associate Status
When Alehra provides Services to healthcare organizations, Alehra acts as a Business Associate under HIPAA
only pursuant to a duly executed Business Associate Agreement (“BAA”).
2. Eligibility and Accounts
You must be at least 18 years old (or legal age of majority in your jurisdiction) to use the Services.
You represent that all information provided is accurate and complete.
You are responsible for maintaining the confidentiality of your credentials and for all activities under your Account.
3. Provider Responsibilities
If You are a healthcare Provider, You are solely responsible for:
- All clinical decisions and patient care
- Verifying patient identity, age, and location
- Obtaining required patient consents
- Maintaining HIPAA compliance
- Reviewing and validating AI-generated content
- Accuracy of claims and billing submissions
Use of Alehra does not, by itself, guarantee regulatory compliance.
4. Telehealth Disclaimer
Alehra provides telehealth technology only. Alehra does not practice medicine.
Providers are solely responsible for determining medical necessity and appropriateness.
Alehra is not liable for internet outages, hardware failures, or third-party disruptions.
5. AI & Automated Tools
Alehra may provide AI-assisted tools for documentation, transcription, or workflow enhancement.
These tools are for support purposes only and may contain inaccuracies.
AI outputs must be reviewed and validated by qualified professionals.
Alehra disclaims liability for reliance on AI-generated content.
6. User Data & License
You retain ownership of User Data. You grant Alehra a limited license to use such data solely to provide and improve the Services.
Alehra may use de-identified and aggregated data for analytics, research, and product improvement.
7. Fees & Payment
Providers are responsible for all subscription fees and applicable taxes.
Failure to pay may result in suspension or termination.
8. Data Security
Alehra implements reasonable administrative, physical, and technical safeguards including encryption and access controls.
Except where prohibited by law or resulting from Alehra’s gross negligence or willful misconduct,
Alehra is not liable for data loss or unauthorized access.
9. Prohibited Uses
- Reverse engineering or scraping the platform
- Using the Services for unlawful purposes
- Submitting false or fraudulent claims
- Interfering with system security
Violation may result in termination.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
ALEHRA DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALEHRA’S TOTAL LIABILITY SHALL NOT EXCEED
THE FEES PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
ALEHRA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Indemnification
You agree to indemnify and hold harmless Alehra from claims arising from:
- Your use of the Services
- Your violation of these Terms
- Your clinical or billing activities
- Your violation of applicable laws
13. Arbitration & Governing Law
Any dispute shall be resolved through binding arbitration under the Federal Arbitration Act
and the American Arbitration Association rules.
Class actions are waived.
14. Termination
You may terminate your Account at any time.
Alehra may suspend or terminate Accounts for violations, security risks, non-payment, or legal requirements.
Upon termination, you are responsible for exporting your data prior to account closure.
Data retention may be subject to legal obligations.
15. Miscellaneous
These Terms constitute the entire agreement.
If any provision is unenforceable, the remaining provisions remain valid.
